CA Foundation Paper 2 Business Laws: How to Study & Remember Everything
The Challenge with Business Laws
Paper 2 (Business Laws) is unique because it is entirely theory-based and subjective. Students who are strong in numbers often struggle here because this paper demands a different skill set: understanding legal language, remembering sections and case laws, and writing structured answers.
The Smart Way to Study Law
Understand Before You Memorise
Reading a bare section of the Indian Contract Act without understanding the concept behind it is futile. Always start with the concept, then see how the section codifies it, and finally look at landmark case laws that illustrate it.
Use the IRAC Method for Answers
For every legal question, structure your answer as: **Issue** (identify the legal question), **Rule** (state the relevant section/provision), **Application** (apply it to the given facts), and **Conclusion** (your answer). ICAI examiners reward this structure.
Create Section Charts
Make a one-page chart for each Act listing key sections. For the Indian Contract Act: Section 2 (definitions), Section 10 (valid contract essentials), Section 23 (unlawful consideration), Section 73 (compensation for breach). Review these charts daily.
Chapter-wise Priority
Indian Contract Act, 1872
This is the most heavily tested chapter, carrying 25-30 marks typically. Focus on: offer and acceptance, consideration, void agreements (Sections 24-30), quasi-contracts, and indemnity vs guarantee.
Sale of Goods Act, 1930
Conditions vs warranties, transfer of property, and unpaid seller rights are frequently tested. Learn the distinction between sale and agreement to sell thoroughly.
Indian Partnership Act, 1932
Rights and duties of partners, types of partners, and dissolution are key areas. Remember that this Act is supplementary to the Contract Act.
Companies Act, 2013
Focus on incorporation, memorandum and articles of association, types of companies, and the doctrine of ultra vires and indoor management. ICAI has increased the weightage of this chapter in recent years.
Negotiable Instruments Act, 1881
Types of instruments, crossing of cheques, and dishonour provisions are high-yield topics. Section 138 (dishonour of cheque) is almost always tested.
Ethics and Communication
Do not ignore this section — it carries 10-15 marks and is the easiest to score in Paper 2.
Memory Techniques That Work
Use mnemonics for section numbers. Create stories linking legal concepts. Practice writing answers by hand — this builds muscle memory for the exam. Revise your section charts every morning for the last 30 days before the exam.
